> END USER LICENSE AGREEMENT

> IMPORTANT — READ BEFORE USING

This End User License Agreement (“EULA”) is a legally binding agreement between you (“Licensee”, “you”, or “your”) and EZscape Ventures LLC (“EZSCAPE”, “we”, “us”, or “our”), a New York limited liability company.

By installing, copying, or otherwise using any EZSCAPE software product (“Software”), you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

Your purchased license is valid in perpetuity, provided you remain in compliance with this agreement. The Software will continue to function on your machine indefinitely for the major version covered by your purchase. Access to future major versions may require a separate purchase or upgrade.

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to use the Software.

> 1. LICENSE GRANT

Subject to the terms of this EULA, EZSCAPE grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on up to two (2) machines (“Seats”).

Seat Rules:

• ▪Both machines must be owned by you or regularly used by you in the course of your work
• ▪One seat may be a machine at your place of employment, provided you are the sole operator of the Software on that machine
• ▪The license follows the person, not the machine
• ▪Both seats must be used by the same individual. Sharing seats across multiple people is not permitted

If you need additional seats, you must purchase an additional license.

> 2. LICENSE TYPES

One-Time Purchase (Perpetual License)

A one-time purchase grants you a perpetual license to use the version of the Software available at the time of purchase. This license does not expire and may include free updates, but it does not guarantee access to future major versions or updates beyond what is included at time of purchase.

Rent-to-Own (Subscription License → Perpetual)

During the Rent-to-Own period, you hold a monthly subscription license. This license is revocable and contingent on continued payment.

• ▪Each monthly payment accrues toward the one-time purchase price
• ▪Once your cumulative payments equal the one-time purchase price (the “Ownership Ceiling”), your license automatically converts to a perpetual license with the same rights as a one-time purchase
• ▪You will never pay more than the full non-discounted one-time purchase price
• ▪If you cancel or miss a payment before reaching the Ownership Ceiling, your license remains active through the end of your current paid billing period, after which it is revoked. Prior payments are non-refundable
• ▪You may re-subscribe at any time. Prior accrued payments are tracked and will continue to count toward the Ownership Ceiling

> 3. RESTRICTIONS

You may NOT:

• ▪Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Software
• ▪Modify the Software, create derivative works based on the Software, or alter any embedded licensing or DRM mechanisms
• ▪Redistribute, sublicense, rent, lease, lend, or sell the Software or your license to any third party
• ▪Share your installer with any third party by any means, including but not limited to uploading to file sharing sites, peer-to-peer networks, forums, social media, or direct transfer. Your installer is personal to your license and is not to be distributed
• ▪Circumvent any license validation, hardware identification, activation limits, trial restrictions, or other protective measures in the Software
• ▪Use the Software on more machines than your license permits, or allow multiple individuals to use a single license

> 4. INSTALLER AND DISTRIBUTION

Your software installer is provided solely for your use and is not publicly available. Sharing, uploading, or distributing your installer in any form constitutes software piracy and is a violation of this EULA, applicable copyright law, and the Digital Millennium Copyright Act (DMCA).

Any unauthorized distribution of the Software — whether for profit or otherwise — will result in:

• ▪Immediate and permanent revocation of your license
• ▪Permanent ban from purchasing any EZSCAPE products
• ▪Pursuit of all available legal remedies, including statutory damages under the DMCA

> 5. TRIAL USE

If a trial or evaluation version of the Software is made available, the following additional terms apply:

• ▪You are entitled to one (1) trial per product per person
• ▪Any attempt to circumvent, extend, or restart trial limitations by any means is a violation of this EULA
• ▪Trial abuse is grounds for permanent license revocation and a ban from purchasing EZSCAPE products

> 6. INTELLECTUAL PROPERTY

The Software is licensed, not sold. EZSCAPE retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights. Your purchase grants you a license to use the Software — it does not transfer ownership of the Software itself.

All output created using the Software (your rendered videos, images, and effects) is yours. We claim no rights over content you produce with our tools.

> 7. ACTIVATION AND VERIFICATION

The Software may require an internet connection for initial activation, periodic license verification, and to check for available updates. You acknowledge that the Software communicates with EZSCAPE servers for these purposes.

If the Software cannot verify your license due to connectivity issues, functionality may be limited until verification is completed. We will make reasonable efforts to ensure the verification process does not interfere with normal use.

The Software does not collect personal data, usage telemetry, project files, or browsing activity. See our Privacy Policy for full details on data handling.

> 8. UPDATES AND SUPPORT

EZSCAPE may release updates, patches, or new versions of the Software at its sole discretion. Your license entitles you to updates within the same major version at no additional cost. Access to future major versions may require a separate purchase or upgrade.

Support is provided on a best-effort basis via [email protected]. We are a small team and do not guarantee response times, but we do our best to help.

> 9. TERMINATION

This license is effective until terminated. It terminates:

• ▪Automatically if you breach any term of this EULA
• ▪Automatically if you cancel or fail to make a Rent-to-Own payment before reaching the Ownership Ceiling
• ▪By EZSCAPE if we determine, in our sole discretion, that you have engaged in piracy, installer distribution, trial abuse, or any other prohibited conduct

Upon termination, you must immediately cease all use of the Software and delete all copies from your machines. Termination does not entitle you to any refund.

> 10. BACKUP COPIES

You may make one (1) archival backup copy of the Software installer for personal disaster recovery purposes only. This backup copy must remain under your exclusive control and may not be shared, distributed, or transferred to any other person.

> 12. EXPORT COMPLIANCE

The Software may be subject to United States export control laws and regulations. You agree not to export, re-export, or transfer the Software to any country, entity, or person prohibited by US law, including but not limited to countries subject to US sanctions or embargoes. You represent that you are not located in, under the control of, or a national or resident of any such country or on any prohibited party list.

> 12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EZSCAPE, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Software, your breach of this EULA, or your violation of any law or rights of a third party.

> 13. WARRANTY DISCLAIMER

The Software is provided “AS IS” without warranty of any kind. EZSCAPE disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, will operate without interruption, or will be compatible with any particular hardware or software configuration.

> 14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, EZSCAPE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software, including but not limited to lost profits, lost data, or business interruption.

EZSCAPE’s total liability under this EULA shall not exceed the amount you actually paid for the Software license giving rise to the claim.

> 15. GOVERNING LAW AND DISPUTE RESOLUTION

This EULA is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any disputes arising under this EULA shall be resolved exclusively in the state or federal courts located in Albany County, New York. You consent to the personal jurisdiction and exclusive venue of such courts and waive any objections based on inconvenient forum.

Before initiating any legal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

> 16. ASSIGNMENT

EZSCAPE may assign or transfer this EULA, and any rights and obligations hereunder, in whole or in part, at any time without notice (including in connection with a merger, acquisition, or sale of assets). You may not assign or transfer this EULA or your license without our prior written consent.

> 17. SURVIVAL

The following sections survive termination of this EULA: Restrictions (Section 3), Installer and Distribution (Section 4), Intellectual Property (Section 6), Export Compliance (Section 11), Indemnification (Section 12), Warranty Disclaimer (Section 13), Limitation of Liability (Section 14), Governing Law and Dispute Resolution (Section 15), and this Survival clause.

> 18. ENTIRE AGREEMENT

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and EZSCAPE with respect to the Software and supersedes all prior or contemporaneous communications and proposals.

If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect.
