> TERMS OF SERVICE

> 1. ACCEPTANCE OF TERMS

By accessing or using ezscape.space (the “Site”), purchasing any product, or creating an account, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site or purchase any products.

These Terms are a legally binding agreement between you and EZscape Ventures LLC, a New York limited liability company (“EZSCAPE”, “we”, “us”, or “our”).

> 2. ELIGIBILITY

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, to use the Site, create an account, or purchase any product. By using the Site, you represent and warrant that you meet this requirement.

> 3. PRODUCTS AND SERVICES

EZSCAPE develops and sells digital software products, including but not limited to creative tools for video, audio, music production, and visual effects. All products are delivered digitally. No physical goods are shipped.

Use of our software products is governed by the End User License Agreement (EULA), which is a separate agreement. By purchasing any product, you agree to both these Terms and the EULA.

> 4. PURCHASES AND PAYMENT

We accept payment through Stripe (direct purchases and Rent-to-Own) and Gumroad (marketplace purchases). All prices are listed in US dollars. You are responsible for any applicable taxes in your jurisdiction.

Purchase Options:

• ▪One-Time Purchase — Full price upfront. License is granted immediately upon successful payment.
• ▪Rent-to-Own (Stripe only) — Fixed monthly installments. You hold a subscription license until cumulative payments reach the one-time purchase price, at which point your license converts to a perpetual license. See the EULA for full Rent-to-Own terms.
• ▪Gumroad — One-time purchases only. Gumroad prices may differ from direct Stripe prices due to platform fees.

> 5. REFUND POLICY

7-Day Refund Window — One-Time Purchases Only

If you purchased a product at the full one-time price, you may request a refund within 7 calendar days of your purchase date. Refunds are issued to the original payment method.

No Refunds on Rent-to-Own

Rent-to-Own payments are non-refundable. Each monthly installment is final once processed. You may cancel your Rent-to-Own subscription at any time. Your license remains active through the end of your current paid billing period. Prior payments are not refunded, but accrued payments are tracked and will count toward ownership if you re-subscribe.

Refunds for eligible one-time purchases are handled through your account portal.

> 6. ACCOUNTS

You may be required to create an account to purchase, activate, or manage your licenses. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

> 7. INTELLECTUAL PROPERTY

All content on the Site — including but not limited to text, graphics, logos, images, video, audio, and software — is the property of EZSCAPE or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any Site content without our prior written consent.

> 8. PROHIBITED CONDUCT

You agree not to:

• ▪Use the Site for any unlawful purpose
• ▪Attempt to gain unauthorized access to any part of the Site or its systems
• ▪Interfere with or disrupt the Site or servers
• ▪Use automated tools to scrape, crawl, or extract data from the Site without written permission
• ▪Circumvent any licensing, DRM, or access control mechanisms
• ▪Impersonate any person or entity, or misrepresent your affiliation

> 9. THIRD-PARTY SERVICES

We use third-party services to process payments (Stripe, Gumroad) and may use other third-party services in connection with the Site. We are not responsible for the availability, accuracy, or content of these third-party services, and your use of them is governed by their respective terms and privacy policies.

Links to third-party websites (including GitHub, YouTube, and social media) are provided for convenience only. We do not endorse or assume responsibility for the content or practices of any linked sites.

> 10. DISCLAIMER OF WARRANTIES

The Site and all products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

> 11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, EZSCAPE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Site or any products.

Our total aggregate liability for any claims arising from or related to these Terms or any product shall not exceed the amount you paid to us for the specific product giving rise to the claim.

> 12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EZSCAPE, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

> 13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Albany County, New York. You consent to the personal jurisdiction and exclusive venue of such courts and waive any objections based on inconvenient forum.

Before initiating any legal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

> 14. ASSIGNMENT

We may assign or transfer these Terms, and any rights and obligations hereunder, in whole or in part, at any time without notice (including in connection with a merger, acquisition, or sale of assets). You may not assign or transfer these Terms or any rights hereunder without our prior written consent.

> 15. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.
